1. Acceptance of These Terms
These Terms of Service (the "Terms") form a binding agreement between you ("User," "you," or "your") and Montreat Heating & Cooling LLC, a New Jersey limited liability company with offices at 28 Spring Street #5089, Princeton, NJ 08542, holding NJ Master HVACR Contractor License #19HC00957900 ("Montreat," "we," "us," or "our"). These Terms govern your access to and use of the Montreat application made available within OpenAI's ChatGPT service (the "App").
By installing, enabling, accessing, or otherwise using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.
If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" refer to both you individually and that organization.
2. Relationship to Other Agreements
These Terms govern your use of the App specifically. Your relationship with Montreat may also be governed by other agreements and policies, including:
Montreat Privacy Policy — available at montreatyourself.com/privacypolicy, which describes how Montreat collects, uses, and discloses personal information in connection with the App.
Montreat SMS Terms & Conditions — which govern text-message communications.
Any separate service, estimate, or installation agreement — the actual provision of HVAC services, including any binding price, scope of work, warranty, and payment terms, is governed by a separate written agreement between you and Montreat, not by these Terms or by the App.
In the event of a direct conflict between these Terms and another Montreat agreement with respect to use of the App, these Terms control as to the App. The terms of any separate service or installation agreement control as to the actual HVAC work performed.
3. The App and Service Providers
3.1 What the App Does
The App is a Model Context Protocol ("MCP") application that operates inside ChatGPT and performs two functions:
Preliminary estimates — it helps you obtain a preliminary, non-binding price estimate for the replacement of an HVAC system; and
Appointment scheduling — it helps you schedule an appointment with Montreat.
The App does not diagnose HVAC problems, troubleshoot equipment, or guide you through any repair, installation, maintenance, or other work. The App is limited to generating preliminary replacement estimates and scheduling appointments. Any actual diagnosis, recommendation, scope of work, and binding pricing will be provided by a Montreat technician, separately from the App. See Sections 6 and 7.
The specific features available may change over time. Montreat may add, modify, restrict, or remove features at its discretion.
3.2 ProxyLink as Technology Service Provider
Montreat uses ProxyLink (operated by Proxz AI Inc.) as the technology service provider that hosts and operates the MCP server underlying the App. ProxyLink processes data on Montreat's behalf as a service provider/processor. ProxyLink is not a party to these Terms, and your relationship with respect to the App is solely with Montreat.
3.3 OpenAI / ChatGPT
The App runs within OpenAI's ChatGPT product. OpenAI is not a party to these Terms and is not responsible for the App. Your use of ChatGPT itself is governed by your separate agreement with OpenAI, including OpenAI's Terms of Use and Privacy Policy. Montreat does not own, operate, or control ChatGPT, and Montreat does not control ChatGPT's responses or output. Montreat is not responsible for ChatGPT's availability, behavior, or output. See Section 9.
4. Eligibility and Access
To use the App, you must (a) be at least 18 years of age; (b) have full legal capacity to enter into a binding agreement; and (c) not be barred from using the App under applicable law or by prior action of Montreat.
The App does not require you to create an account or to authenticate. Because the App is unauthenticated, you should not submit any sensitive personal information through it, and you are responsible for the accuracy of the information you provide (see Section 5).
5. Acceptable Use
You agree not to, and not to permit any third party to:
Use the App for any unlawful, fraudulent, harmful, or deceptive purpose;
Submit false, misleading, or inaccurate information through the App, including in any estimate request or appointment request, or submit another person's information without authorization;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Interfere with or disrupt the App, the underlying MCP server, ProxyLink's systems, ChatGPT, or any associated networks;
Attempt to reverse engineer, decompile, scrape, harvest, or otherwise extract data, source code, or underlying components of the App except to the extent expressly permitted by applicable law;
Use the App to develop a competing product or service, or to train any machine learning model;
Bypass any access controls, rate limits, or security mechanisms of the App;
Submit through the App any malware, viruses, or harmful code;
Submit through the App any of the following categories of data: payment card information; protected health information; government identifiers (such as Social Security numbers); access credentials, API keys, passwords, or one-time codes; or any other sensitive personal data that the App is not expressly designed to receive;
Use the App in any manner that violates the OpenAI Usage Policies or OpenAI's terms applicable to ChatGPT and ChatGPT apps.
Use the App to try and troubleshoot or fix equipment.
Montreat may investigate suspected violations and may suspend or terminate access to the App for any user reasonably believed to be in violation.
6. Estimates and Scheduling
6.1 Estimates Are Preliminary and Non-Binding
Any estimate produced through the App is a preliminary, good-faith estimate only. It is based solely on the limited information you provide and is not a quote, a guaranteed price, a contract, or an offer. Actual pricing depends on an on-site inspection by a Montreat technician and factors that cannot be assessed through the App, including the condition of your property, existing equipment, ductwork, code requirements, and the scope of work ultimately agreed upon. Montreat is not bound by any estimate generated through the App and may revise it after an on-site assessment.
6.2 Appointments
A scheduling request submitted through the App is a request only and is not confirmed until Montreat confirms it through normal channels. Appointment availability is not guaranteed. You are responsible for providing an accurate service address and contact information and for notifying Montreat promptly if you need to reschedule or cancel.
6.3 No Service Contract Formed Through the App
Using the App to obtain an estimate or schedule an appointment does not create a binding contract for HVAC services. Any agreement to perform work will be formed only through a separate written service or installation agreement between you and Montreat, which will govern scope, price, warranties, payment, and any rights of cancellation provided under applicable New Jersey law.
7. No Diagnosis, Repair Guidance, or Professional Advice
The App is provided for the limited purposes of generating preliminary replacement estimates and scheduling appointments. The App is not intended to, and does not, diagnose HVAC issues or guide you through any repair, troubleshooting, installation, or maintenance. Nothing made available through the App is professional, engineering, safety, code-compliance, or other expert advice, and you should not rely on the App for any such purpose. You should not perform, attempt, or forgo any repair, installation, or maintenance based on anything you obtain through the App. For any actual diagnosis or work, rely only on a qualified, licensed Montreat technician.
8. Safety and Emergencies
The App is not for emergencies. Do not use the App to report or respond to any emergency. If you suspect a gas leak, smell gas, or suspect carbon monoxide, leave the premises immediately and call 911 and your utility provider. For an HVAC emergency such as a complete loss of heat or cooling in dangerous conditions, contact Montreat directly by phone at (732) 500-2655 rather than through the App. The App may not be monitored in real time, and submissions through the App may not be received or acted upon immediately.
9. ChatGPT Output; No Responsibility or Liability for ChatGPT
The App operates inside ChatGPT, which is owned and operated by OpenAI. Montreat does not control ChatGPT or the content, responses, or output that ChatGPT generates. ChatGPT may produce information that is inaccurate, incomplete, outdated, or otherwise unreliable, including with respect to HVAC topics, pricing, scheduling, or any other subject.
To the fullest extent permitted by law, Montreat is not responsible or liable for any guidance, advice, recommendation, statement, or other output provided by ChatGPT, whether or not it relates to Montreat, its services, or any estimate or appointment. You are solely responsible for evaluating ChatGPT's output and for any decision or action you take based on it. This Section 9 applies in addition to, and does not limit, the disclaimers and limitations of liability in Sections 10 and 11.
10. Disclaimers
The App is provided "as is" and "as available," without warranty of any kind. To the fullest extent permitted by law, Montreat, its affiliates, and its service providers (including ProxyLink) disclaim all warranties, express, implied, and statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, Montreat does not warrant that the App will be uninterrupted, secure, or error-free, or that any output generated by or through the App, including any estimate or any output generated by ChatGPT, will be accurate, complete, or reliable. You are solely responsible for evaluating any output and for any decisions you make based on the App.
The App is not a substitute for professional advice, including engineering, safety, code, legal, financial, medical, or regulatory advice, and is not a substitute for an on-site assessment by a licensed technician.
Nothing in these Terms creates, modifies, or extends any warranty on HVAC equipment or workmanship. Any such warranty is governed solely by the applicable manufacturer warranty and any separate written service or installation agreement.
11. Limitation of Liability
To the fullest extent permitted by law, in no event will Montreat, its affiliates, or its service providers (including ProxyLink), or any of their respective officers, members, managers, employees, agents, or licensors, be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the App, any output of ChatGPT, or these Terms, whether based on contract, tort (including negligence), strict liability, or any other theory, and whether or not Montreat has been advised of the possibility of such damages.
Montreat's aggregate liability arising out of or relating to the App or these Terms will not exceed one hundred U.S. dollars (US$100). This limitation does not apply to amounts owed under, or claims arising from, a separate written service or installation agreement, which is governed by its own terms and applicable law.
The limitations in this Section 11 apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, the foregoing limitations apply to the maximum extent permitted by law, and nothing in these Terms limits any liability that cannot be limited under applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Montreat, its affiliates, its service providers (including ProxyLink), and their respective officers, members, managers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the App; (b) information you submit through the App; (c) your breach of these Terms; or (d) your violation of any law or the rights of any third party. Montreat may assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Montreat's defense.
13. Service Availability and Modifications
Montreat does not guarantee that the App will be available at all times or free of interruptions, errors, or delays. Montreat may modify, suspend, or discontinue the App, or any feature of it, at any time with or without notice. Montreat is not liable to you for any such modification, suspension, or discontinuation.
The App depends on third-party services, including ChatGPT and ProxyLink's infrastructure. Outages, changes, or restrictions imposed by those third parties may affect the App.
14. Intellectual Property
14.1 Montreat Materials
The App, the underlying software, the Montreat name and marks, and all content made available through the App (other than User Content, as defined below) are owned by Montreat or its licensors and are protected by intellectual property and other laws. Except for the limited right to use the App as described in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
14.2 User Content
"User Content" means information and material you submit through the App. You retain whatever rights you have in your User Content. You grant Montreat and its service providers (including ProxyLink) a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and use your User Content as necessary to operate the App, provide related services to you, respond to your requests, maintain and improve the App and Montreat's services, and comply with law. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any third-party rights.
14.3 Feedback
If you provide Montreat with feedback, suggestions, or ideas about the App, you grant Montreat a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.
15. Data and Privacy
Montreat's collection, use, and disclosure of personal information in connection with the App is described in the Montreat Privacy Policy at montreatyourself.com/privacypolicy, which is incorporated into these Terms by reference. By using the App, you acknowledge the practices described in the Privacy Policy.
When you use the App, you may provide information directly (for example, your name, telephone number, email address, and service address). The App is designed to operate only on the information and snippets the ChatGPT client passes to it for the specific request, and not to reconstruct or infer your full ChatGPT conversation history. Your interactions with ChatGPT are also subject to OpenAI's privacy practices, which are not controlled by Montreat.
Montreat does not sell personal information you submit through the App, as "sell" is defined under applicable U.S. state privacy laws, and does not share such information for cross-context behavioral advertising.
16. Communications and Text Messaging
By providing your telephone number through the App, you agree that Montreat may contact you about your estimate request or appointment, including by phone call and, where you opt in, by text message. Text-message consent is not a condition of obtaining an estimate or scheduling service. You may opt out of text messages at any time by replying STOP and may request help by replying HELP. Message frequency varies, and message and data rates may apply. These practices are further described in the Montreat SMS Terms & Conditions and the Privacy Policy.
17. Payments
The App does not process payments, deposits, or other financial transactions. Any payment for HVAC services must be completed outside the App through Montreat's normal channels under a separate written agreement. The App will not collect or transmit payment card or bank account information.
18. Suspension and Termination
Montreat may suspend or terminate your access to the App at any time, with or without notice, for any reason, including if Montreat reasonably believes you have violated these Terms or that continued provision of the App to you could expose Montreat to legal or reputational risk. You may stop using the App at any time. Sections 5, 6, 7, 9, 10, 11, 12, 14, 15, 18, 19, and 20 survive termination.
19. Modifications to These Terms
Montreat may modify these Terms from time to time. When Montreat makes a material change, Montreat will provide reasonable notice, such as by posting the updated Terms with a new "Last Updated" date. Your continued use of the App after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the App.
20. Governing Law and Dispute Resolution
20.1 Governing Law
These Terms and any dispute arising out of or relating to them or to the App are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20.2 Venue
Subject to Section 20.3, you and Montreat agree that any action or proceeding arising out of or relating to these Terms or the App will be brought exclusively in the state or federal courts located in Mercer County, New Jersey, and you and Montreat irrevocably submit to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
20.3 Informal Resolution
Before filing any action, you agree to first contact Montreat at Info@MontreatYourself.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
20.4 Small Claims
Notwithstanding Section 20.2, either party may bring an individual action in small claims court if the action qualifies.
20.5 Waiver of Class Actions
You and Montreat agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
21. General
21.1 Entire Agreement
These Terms, together with the Montreat Privacy Policy and any other Montreat policy expressly incorporated by reference, constitute the entire agreement between you and Montreat regarding the App and supersede all prior or contemporaneous understandings on that subject. This Section does not affect any separate written service or installation agreement.
21.2 Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to be enforceable while preserving the original intent.
21.3 No Waiver
A party's failure to enforce any provision of these Terms is not a waiver of that party's right to enforce it later.
21.4 Assignment
You may not assign or transfer these Terms or any rights under them without Montreat's prior written consent. Montreat may assign these Terms without restriction. Any prohibited assignment is void.
21.5 Notices
Montreat may provide notices to you by posting in the App or on montreatyourself.com or, where it has your contact information, by email or text. You may provide notices to Montreat at 28 Spring Street #5089, Princeton, NJ 08542 or Info@MontreatYourself.com.
21.6 Force Majeure
Montreat is not liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, labor disputes, governmental action, internet or telecommunications failures, or failures of third-party services (including ChatGPT and ProxyLink infrastructure).
21.7 Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and Montreat.
21.8 Third-Party Beneficiaries
Except that ProxyLink and OpenAI are intended third-party beneficiaries of the disclaimers, limitations of liability, and indemnification provisions in these Terms, these Terms do not create any third-party beneficiary rights.

Section headings are for convenience only and do not affect interpretation.
